They apply prospectively, amend no existing external customer agreement, and were approved through documented corporate change control before cutover. Future users receive these Terms before account creation or use. Legal effectiveness does not itself activate the no-card trial or any separately gated product capability.

Preamble

These Terms of Service (“Terms”) constitute a binding legal agreement between Dossiri LLC, a Maryland limited liability company (“DOSSIRI,” “we,” “us,” or “our”), and the individual or organization (“Customer,” “you,” or “your”) that accesses or uses the DOSSIRI platform at app.dossiri.com (the “Service”).

By creating an account, joining an organization, or otherwise accessing the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not access or use the Service.

These Terms incorporate by reference the DOSSIRI Privacy Policy (www.dossiri.com/legal/privacy) and the DOSSIRI Acceptable Use Policy (www.dossiri.com/legal/acceptable-use). In the event of a conflict between these Terms and the incorporated policies, these Terms control.

1. Definitions

The following terms apply throughout these Terms:

Account: An organizational account on the Service, which serves as the tenant boundary for all CRM data and organizational activity.

Beta Program: A pre-general-availability access program under which design partners, alpha users, and beta users access the Service under separate Beta Program Agreement terms that supplement these Terms.

CRM Core: The foundational CRM functionality of the Service that is available on all Plans without Intelligence Layer entitlement. CRM Core includes Accounts, Contacts, Leads, Deals, Tasks, Evidence, Timeline, and Operational Reporting.

Customer Content: All data, records, and information that Users enter into the Service, including account records, contact records, lead records, deal records, task records, and evidence entries. Customer Content belongs to the Organization.

Documentation: Any technical, product, or usage documentation made available by DOSSIRI in connection with the Service.

Intelligence Layer: Entitlement-controlled features of the Service that generate intelligence outputs, including Account Briefs, Pre-Call Briefs, Territory Digest summaries, Onboarding Briefs, Signals, Opportunity Assessments, and Suggested Contacts.

Intelligence Output: Any content generated by the Intelligence Layer, including Briefs, Signals, Opportunity Assessments, and Suggested Contacts. Intelligence Outputs are decision-support information only. See Section 10.

Organization: The business entity that holds an Account on the Service. All CRM records are scoped to an Organization. A solo user receives a single-user Organization automatically upon onboarding.

Plan: The subscription tier under which an Organization accesses the Service. Current Plan tiers are STARTER, PROFESSIONAL, and TEAM. Plan details and pricing are defined on the DOSSIRI pricing page at www.dossiri.com/pricing. Feature entitlements for each Plan are described on the pricing page and in the applicable subscription confirmation.

Service: The DOSSIRI platform available at app.dossiri.com, including all CRM Core features, Intelligence Layer features available under the applicable Plan, and associated infrastructure.

User: An individual who accesses the Service through an Organization’s Account. Users are bound by these Terms and by the Organization’s internal policies regarding use of the Service.

2. Account Registration and Access

2.1 Eligibility

The Service is intended for business use by adults. You must be at least 18 years of age to access the Service. By accessing the Service, you represent that you meet this requirement and that your use of the Service complies with applicable law.

2.2 Account Creation

To access the Service, you must create an Account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. Authentication is managed through Clerk, a third-party identity provider. You are responsible for maintaining the security of your account credentials.

2.3 Organizational Accounts

DOSSIRI is an organizational platform. All CRM records, including accounts, contacts, leads, deals, tasks, and evidence, are scoped to an Organization and may be accessible to other members of that Organization based on their assigned role (Owner, Admin, Member, or Viewer). You acknowledge that Customer Content you create within an Organization may be accessible to other authorized members of that Organization.

If your Account was created or provisioned by an employer or organization administrator, that administrator may have the ability to access, export, modify, or delete records associated with the Organization. DOSSIRI is not responsible for how an Organization’s administrators manage access to Customer Content within the Service.

2.4 Account Security

You are responsible for all activity that occurs under your Account. You agree to notify us immediately at hello@dossiri.com if you become aware of any unauthorized use of your Account or any security breach affecting your credentials.

2.5 One Organization Per Account

Each User account is associated with one Organization at a time. Team account structures and multi-user access are subject to the applicable Plan entitlements and role structure of the Service.

3. The Service

3.1 CRM Core — Always Available

CRM Core features are available on all Plans without Intelligence Layer entitlement. CRM Core includes Accounts, Contacts, Leads, Deals, Tasks, Evidence, Timeline, and Operational Reporting. DOSSIRI will not gate, restrict, or remove access to CRM Core functionality based on plan tier. Evidence is CRM Core and is always free. CRM Core data is never deleted due to subscription lapse.

3.2 Intelligence Layer — Entitlement-Controlled

Intelligence Layer features are available subject to the entitlements of your applicable Plan. Intelligence Layer features include Account Briefs, Pre-Call Briefs, Territory Digest summaries, Onboarding Briefs, Signal monitoring and analysis, Opportunity Assessments, and Suggested Contacts. Access to specific Intelligence Layer features varies by Plan.

Onboarding Briefs are provided to all Plans as a one-time benefit upon first completion of the Ideal Customer Profile (ICP) with monitoring tags. No Intelligence Layer subscription is required for the Onboarding Brief.

3.3 Service Modifications

DOSSIRI reserves the right to modify, update, or discontinue features of the Service at any time. We will provide at least 30 days’ advance notice of material changes that reduce functionality available under your current Plan. We will not reduce CRM Core functionality without providing an opportunity for you to export your Customer Content.

3.4 Service Availability

DOSSIRI will use commercially reasonable efforts to make the Service available. We do not guarantee uninterrupted access. Scheduled maintenance, infrastructure updates, and circumstances outside our control may result in temporary unavailability. DOSSIRI does not provide a specific uptime service level agreement at this time.

3.5 Beta Program

Users participating in the DOSSIRI Beta Program (including design partners, alpha users, and beta users) access the Service under a Beta Program Agreement that supplements these Terms. In the event of a conflict between these Terms and the Beta Program Agreement, the Beta Program Agreement controls with respect to Beta Program participation. See Section 14 for additional Beta Program provisions.

4. Customer Content

4.1 Ownership

Customer Content belongs to the Organization that creates it. DOSSIRI does not claim ownership of Customer Content. You retain all rights in the Customer Content you submit to the Service.

4.2 License to DOSSIRI

By submitting Customer Content to the Service, you grant DOSSIRI a limited, non-exclusive, worldwide license to process, store, transmit, and display Customer Content solely as necessary to provide the Service to you. This license terminates when your Account is closed and Customer Content is deleted in accordance with our data retention practices, as described in the Privacy Policy.

4.3 Intelligence Processing

The Intelligence Layer processes Customer Content as context for generating Intelligence Outputs. This processing is a service delivery function. Customer Content consumed as input to intelligence generation remains the property of the Organization. DOSSIRI does not acquire rights to Customer Content by virtue of processing it for intelligence generation purposes.

4.4 Aggregated Data

DOSSIRI may derive aggregated and de-identified data from Customer Content and usage data for the purpose of operating, improving, and developing the Service. Aggregated data does not identify any individual User or Organization. DOSSIRI may use aggregated data without restriction.

4.5 AI Training

DOSSIRI does not use Customer Content to train machine learning or AI models that will be made available to other customers or organizations without your explicit consent.

4.6 Customer Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Customer Content you submit to the Service. DOSSIRI does not review Customer Content for accuracy or legal compliance. You represent that you have all rights necessary to submit Customer Content to the Service and that doing so does not violate any applicable law or third-party right.

4.7 No PHI

The Service is not designed to store, process, or transmit Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). You agree not to submit PHI to the Service. DOSSIRI is not a HIPAA Business Associate and does not execute Business Associate Agreements. Submission of PHI is a material breach of these Terms and may result in immediate termination of access without a cure period.

5. Subscriptions and Payment

5.1 Subscription Plans

Access to commercially gated Intelligence Layer, Email, and Calendar execution requires an applicable Plan, trial, or other authorized entitlement and may remain unavailable while independent legal, provider, privacy, or rollout gates are closed. DOSSIRI currently offers STARTER, PROFESSIONAL, and TEAM. CRM Core remains available from verified signup and after trial/subscription lapse; previously authorized outputs/history may remain read-only under their original privacy and role rules.

5.2 Billing

Paid subscriptions are billed on a seat basis, in advance on a recurring basis (monthly or annual, as selected at purchase). Payment is processed through Stripe, our designated payment provider. By providing payment information, you authorize DOSSIRI to charge your payment method for the applicable subscription fees through Stripe.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through the billing settings within the Service. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for mid-period cancellations unless required by applicable law.

5.4 Price Changes

DOSSIRI may change subscription pricing at any time. We will provide at least 30 days’ advance notice of price increases affecting your current subscription before the change takes effect. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5.5 Taxes

Subscription fees do not include applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your subscription, excluding taxes on DOSSIRI’s net income.

5.6 Free Trial and Promotional Access

DOSSIRI offers an ordinary verified self-serve user one nonrenewable 14-day trial with PROFESSIONAL Plan entitlements. No payment method is required to begin. Until you explicitly select a Plan, DOSSIRI may provisionally represent the subscription using the PROFESSIONAL monthly item solely to establish the trial. DOSSIRI will not collect payment or enable billing-portal changes until your selected Plan is reflected in the subscription item and you deliberately complete the payment-method flow.

If the trial expires without paid continuation, commercially gated execution is paused without creating a debt. CRM Core and previously authorized retained content remain available, but new generation, provider synchronization, send, or write actions may be unavailable. Unpaid is reserved for an actual payment obligation. Resuming does not create another trial.

Existing or manually granted Early Adopter relationships and legacy coupon commitments remain governed by their durable terms. New ordinary signups do not automatically receive a 60-day Early Adopter trial.

5.7 Early Adopter Program

DOSSIRI may offer an Early Adopter Program providing promotional pricing to early customers. Early Adopter pricing consists of a permanent discount applied through a Stripe coupon for the duration of the qualifying subscription. Early Adopter pricing applies to STARTER and PROFESSIONAL Plans only. Early Adopter status is permanently forfeited upon subscription cancellation and cannot be reinstated on re-subscription. Early Adopter pricing is not guaranteed to be available to new customers after the Early Adopter Program closes.

6. Acceptable Use

6.1 Acceptable Use Policy

Your use of the Service is subject to the DOSSIRI Acceptable Use Policy (AUP), available at www.dossiri.com/legal/acceptable-use, which is incorporated into these Terms by reference. You agree to comply with the AUP at all times.

6.2 General Prohibitions

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right
  • Submit, store, or transmit content that is unlawful, defamatory, infringing, obscene, or otherwise objectionable
  • Submit PHI or any other data category that the Service is not designed to handle
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service or any component thereof
  • Scrape, crawl, or systematically extract data from the Service without authorization
  • Use the Service to develop a competing product or service
  • Transmit malware, viruses, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent or attempt to circumvent any access controls, entitlement checks, or usage limits

6.3 Regulated Industry Responsibility

DOSSIRI is used by sales professionals in life sciences and regulated industries. You acknowledge that your use of the Service and your reliance on any Intelligence Output in connection with regulated activities is your sole responsibility. DOSSIRI is decision-support software. It is not a compliance tool, regulatory system, or quality management system. See Section 10 for the full disclaimer applicable to Intelligence Outputs.

6.4 Enforcement

DOSSIRI reserves the right to suspend or terminate access to the Service for violations of these Terms or the AUP. We will provide notice where reasonably practicable before suspension or termination, except where immediate action is required to protect the Service or other users. PHI submissions and material AUP violations may result in immediate termination without prior notice or a cure period.

7. Intellectual Property

7.1 DOSSIRI Ownership

DOSSIRI owns all rights, title, and interest in and to the Service, including all software, algorithms, user interfaces, documentation, trademarks, and technology underlying the Service. These Terms do not transfer any ownership interest in the Service to you. Your rights are limited to the license to access and use the Service as described in these Terms.

7.2 License to Use the Service

Subject to these Terms, any applicable fees, and the limits of your trial, Plan, or other authorized entitlement, DOSSIRI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes while your access remains authorized.

7.3 Feedback

If you provide DOSSIRI with feedback, suggestions, or ideas about the Service (“Feedback”), you grant DOSSIRI a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback without restriction or compensation to you. Feedback does not include Customer Content.

7.4 Third-Party Data Sources

The Intelligence Layer surfaces information derived from publicly available third-party sources including FDA databases, ClinicalTrials.gov, and SEC EDGAR. These sources are owned by their respective operators and are subject to their respective terms of use. DOSSIRI does not claim ownership of third-party source data. Nothing in these Terms grants you rights in third-party source data beyond your access through the Service. You may not redistribute, resell, or incorporate Intelligence Output content derived from third-party sources into any commercial data product, publication, or service offered to third parties for compensation.

8. Confidentiality

8.1 DOSSIRI Confidential Information

In connection with your use of the Service, DOSSIRI may share information that is confidential, including non-public product roadmap information, pricing structures, technical architecture, and business information (“DOSSIRI Confidential Information”). You agree to hold DOSSIRI Confidential Information in confidence and not to disclose it to third parties or use it for any purpose other than your use of the Service.

8.2 Customer Confidential Information

DOSSIRI acknowledges that Customer Content may contain confidential business information. DOSSIRI will not disclose Customer Content to third parties except as permitted by these Terms, the Privacy Policy, or as required by law.

8.3 Exclusions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was known to the receiving party before disclosure; (c) is received from a third party without restriction; or (d) is required to be disclosed by law or court order, provided that the disclosing party provides reasonable prior notice where permitted by law.

9. Term and Termination

9.1 Term

These Terms begin when you first access the Service and continue until terminated as described in this Section.

9.2 Termination by You

You may terminate your Account and subscription at any time by cancelling through the Service. Termination takes effect at the end of the current billing period for paid subscriptions. Upon termination, your access to Intelligence Layer features will cease and CRM Core features will remain accessible through the data retention period described in Section 9.4.

9.3 Termination by DOSSIRI

DOSSIRI may suspend or terminate your access to the Service:

  • For material breach of these Terms (other than those listed below) that is not cured within 15 days of written notice
  • For violation of the Acceptable Use Policy
  • For non-payment of subscription fees
  • Immediately and without a cure period for submission of PHI, for violations that pose imminent risk of harm to the Service or other users, or for conduct that DOSSIRI determines in its reasonable judgment constitutes a serious AUP violation
  • If required by applicable law
  • If DOSSIRI discontinues the Service, with at least 60 days' advance notice

9.4 Effect of Termination

Upon termination: (a) your license to access Intelligence Layer features ceases immediately; (b) CRM Core features remain accessible for 30 days following termination to allow data export; (c) Customer Content is subject to the data retention practices described in the Privacy Policy (90-day retention period following termination, after which Customer Content becomes eligible for permanent deletion from our systems); and (d) provisions of these Terms that by their nature should survive termination will survive, including Sections 4 (Customer Content), 7 (Intellectual Property), 10 (Disclaimer of Warranties and Intelligence Output Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 15 (General).

9.5 Data Export

Prior to Account termination, you may export your Customer Content using the export functionality available within the Service. DOSSIRI offers CSV export for Accounts, Contacts, Leads, Deals, and Tasks. We encourage you to export your data before terminating your Account.

10. Disclaimer of Warranties and Intelligence Output Disclaimer

This Section is a material term of these Terms. Please read it carefully.

10.1 Intelligence Output Disclaimer

The following disclaimer applies to all Intelligence Layer features of the Service, including Account Briefs, Pre-Call Briefs, Territory Digest summaries, Onboarding Briefs, Signals, Opportunity Assessments, and Suggested Contacts.

DOSSIRI outputs do not constitute compliance advice, legal advice, regulatory advice, validation guidance, quality advice, or professional advice of any kind. All Intelligence Outputs are provided solely as decision-support information. You are solely responsible for independently evaluating, validating, and verifying any DOSSIRI output before acting upon it. DOSSIRI does not guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of any output generated by the Service. Human judgment remains responsible for all decisions and actions taken in connection with information provided by DOSSIRI.

DOSSIRI is:

  • A compliance-aware, intelligence-native customer relationship management platform
  • Decision-support software designed to help life sciences and regulated-industry sales professionals prepare for conversations, assess opportunities, accumulate account intelligence, and monitor territory signals
  • A tool that assists professional judgment — it does not replace it

DOSSIRI is not:

  • Legal advice or a substitute for legal counsel
  • Compliance advice or a substitute for compliance professionals or compliance management systems
  • Regulatory advice or a substitute for regulatory affairs professionals
  • Validation consulting or a substitute for validation engineers or quality professionals
  • Quality management software or a quality management system (QMS)
  • A 21 CFR Part 11 compliant system — DOSSIRI is not represented as such and users in FDA-regulated environments are responsible for evaluating its appropriateness for their regulated workflows
  • A system designed to store, process, or transmit Protected Health Information (PHI) as defined under HIPAA
  • An autonomous agent — DOSSIRI does not take actions on your behalf or make decisions for you
  • A guarantee of any business, sales, compliance, regulatory, or validation outcome

Specifically and without limiting the foregoing:

  • Intelligence Outputs are generated in part from publicly available third-party data sources. DOSSIRI does not independently verify the accuracy or currency of third-party data used in generating Intelligence Outputs.
  • Opportunity Assessments (High Potential, Moderate Potential, Low Potential, Insufficient Information) reflect decision-support classifications based on available information. They are not predictions, guarantees, or professional assessments of any business, regulatory, or compliance outcome.
  • Signal information reflecting regulatory activity, clinical trial postings, procurement notices, or company events is derived from public sources and may be delayed, incomplete, or inaccurate. You must independently verify signal information before relying on it for any business, compliance, or regulatory purpose.

10.2 No Professional Relationship

Use of the Service does not create an attorney-client, consultant-client, compliance advisory, regulatory advisory, quality advisory, or other professional services relationship between DOSSIRI and any User or Organization. No communication through the Service, and no Intelligence Output generated by the Service, constitutes the provision of legal, compliance, regulatory, validation, quality, or other professional services. Users requiring professional advice in any of these areas must consult qualified professionals independently of the Service.

10.3 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOSSIRI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOSSIRI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. DOSSIRI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INTELLIGENCE OUTPUT OR THIRD-PARTY DATA SURFACED THROUGH THE SERVICE.

11. Limitation of Liability

11.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DOSSIRI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF DOSSIRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOSSIRI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO DOSSIRI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Essential Basis

The limitations of liability in this Section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between DOSSIRI and you. DOSSIRI would not be able to provide the Service on commercially reasonable terms without these limitations.

11.4 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.

12. Indemnification

You agree to defend, indemnify, and hold harmless DOSSIRI and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Customer Content you submit to the Service; (c) your violation of these Terms or the Acceptable Use Policy; (d) your violation of any applicable law or third-party right; or (e) any claim that Customer Content infringes any intellectual property right or other right of a third party.

DOSSIRI reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with DOSSIRI’s defense of such claims.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles.

13.2 Good-Faith Negotiation

Prior to initiating any formal legal proceeding, the parties agree to first attempt to resolve any dispute arising out of or relating to these Terms or the Service through good-faith negotiation for a period of thirty (30) days from the date written notice of the dispute is provided to the other party. Notice must be sent in accordance with Section 15.7.

13.3 Exclusive Jurisdiction and Venue

Each party submits to the exclusive jurisdiction of the state and federal courts located in Maryland for any dispute arising out of or relating to these Terms or the Service, and waives any objection to the laying of venue in Maryland, including any objection based on inconvenient forum.

13.4 Waiver of Class and Collective Actions

To the fullest extent permitted by applicable law, each party agrees that any dispute arising out of or relating to these Terms or the Service will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. This waiver does not apply where applicable law prohibits waiver of class or collective action rights, in which case this Section 13.4 will be enforced to the maximum extent permitted by law.

13.5 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

13.6 Equitable Relief

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent or remedy unauthorized use of the Service or infringement of intellectual property rights, including before completion of the good-faith negotiation period described in Section 13.2.

14. Beta Program

14.1 Beta Status

DOSSIRI may make the Service or certain features available to users under a Beta Program prior to general availability. Beta access is provided at DOSSIRI’s sole discretion and may be modified or withdrawn at any time.

14.2 Beta Program Agreement

Participation in the Beta Program is governed by a Beta Program Agreement, which supplements and controls over these Terms with respect to Beta Program participation. Beta Program Agreement execution must occur before or simultaneously with initial Service access by any Beta Program participant. If you are a Beta Program participant, you should review your Beta Program Agreement carefully.

14.3 Beta Disclaimers

Beta features and pre-general-availability features are provided without warranty of any kind. Beta features may be unstable, incomplete, or subject to significant change. DOSSIRI is not liable for data loss, service interruptions, or other issues arising from use of Beta features. You assume all risk associated with use of Beta features.

14.4 Feedback from Beta Participants

Beta Program participants are encouraged to provide Feedback to DOSSIRI. Feedback provided by Beta Program participants is subject to the Feedback license in Section 7.3. Participation in the Beta Program does not create any obligation on DOSSIRI to implement Feedback or to continue any feature introduced during the Beta Program.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any Beta Program Agreement or subscription order applicable to your Account, constitute the entire agreement between you and DOSSIRI with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings relating to the subject matter hereof.

15.2 Amendment

DOSSIRI may amend these Terms at any time. We will provide at least 30 days’ advance notice of material amendments via email or in-Service notification. Continued use of the Service after an amendment takes effect constitutes acceptance of the amended Terms. If you do not agree to an amendment, you may terminate your Account before the amendment takes effect.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

15.4 Waiver

DOSSIRI’s failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future. Waivers must be in writing and signed by an authorized representative of DOSSIRI to be effective.

15.5 Assignment

You may not assign or transfer your rights under these Terms without DOSSIRI’s prior written consent. DOSSIRI may assign these Terms or its rights hereunder in connection with a merger, acquisition, asset sale, or reorganization without your consent.

15.6 Force Majeure

DOSSIRI is not liable for delays or failures in performance resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or third-party service disruptions.

15.7 Notices

Notices to you will be sent to the email address associated with your Account. Notices to DOSSIRI, including formal legal notices, should be sent to hello@dossiri.com. Notices are effective upon delivery to the applicable email address.

15.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No third party may enforce any provision of these Terms.

15.9 Relationship of the Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between DOSSIRI and you.

15.10 Export Compliance

You agree to comply with all applicable export control laws and regulations in connection with your use of the Service. You represent that you are not located in a country subject to U.S. trade embargo and are not on any U.S. government list of prohibited or restricted parties.

15.11 Government Users

If you are a U.S. government entity, the Service is provided as a "commercial item" as defined in 48 C.F.R. §2.101. Use by U.S. government end users is subject to these Terms.

Preamble

These Terms of Service (“Terms”) constitute a binding legal agreement between Dossiri LLC, a Maryland limited liability company (“DOSSIRI,” “we,” “us,” or “our”), and the individual or organization (“Customer,” “you,” or “your”) that accesses or uses the DOSSIRI platform at app.dossiri.com(the “Service”).

By creating an account, joining an organization, or otherwise accessing the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

If you do not agree to these Terms, do not access or use the Service.

These Terms incorporate by reference the DOSSIRI Privacy Policy (www.dossiri.com/legal/privacy) and the DOSSIRI Acceptable Use Policy (www.dossiri.com/legal/acceptable-use). In the event of a conflict between these Terms and the incorporated policies, these Terms control.

1. Definitions

The following terms apply throughout these Terms:

Account: An organizational account on the Service, which serves as the tenant boundary for all CRM data and organizational activity.

Beta Program: A pre-general-availability access program under which design partners, alpha users, and beta users access the Service under separate Beta Program Agreement terms that supplement these Terms.

CRM Core: The foundational CRM functionality of the Service that is available on all Plans without Intelligence Layer entitlement. CRM Core includes Accounts, Contacts, Leads, Deals, Tasks, Evidence, Timeline, and Operational Reporting.

Customer Content: All data, records, and information that Users enter into the Service, including account records, contact records, lead records, deal records, task records, and evidence entries. Customer Content belongs to the Organization.

Documentation: Any technical, product, or usage documentation made available by DOSSIRI in connection with the Service.

Intelligence Layer: Entitlement-controlled features of the Service that generate intelligence outputs, including Account Briefs, Pre-Call Briefs, Territory Digest summaries, Onboarding Briefs, Signals, Opportunity Assessments, and Suggested Contacts.

Intelligence Output: Any content generated by the Intelligence Layer, including Briefs, Signals, Opportunity Assessments, and Suggested Contacts. Intelligence Outputs are decision-support information only. See Section 10.

Organization: The business entity that holds an Account on the Service. All CRM records are scoped to an Organization. A solo user receives a single-user Organization automatically upon onboarding.

Plan: The subscription tier under which an Organization accesses the Service. Current Plan tiers are STARTER, PROFESSIONAL, and TEAM. Plan details and pricing are defined on the DOSSIRI pricing page at www.dossiri.com/pricing. Feature entitlements for each Plan are described on the pricing page and in the applicable subscription confirmation.

Service: The DOSSIRI platform available at app.dossiri.com, including all CRM Core features, Intelligence Layer features available under the applicable Plan, and associated infrastructure.

User: An individual who accesses the Service through an Organization’s Account. Users are bound by these Terms and by the Organization’s internal policies regarding use of the Service.

2. Account Registration and Access

2.1 Eligibility

The Service is intended for business use by adults. You must be at least 18 years of age to access the Service. By accessing the Service, you represent that you meet this requirement and that your use of the Service complies with applicable law.

2.2 Account Creation

To access the Service, you must create an Account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. Authentication is managed through Clerk, a third-party identity provider. You are responsible for maintaining the security of your account credentials.

2.3 Organizational Accounts

DOSSIRI is an organizational platform. All CRM records, including accounts, contacts, leads, deals, tasks, and evidence, are scoped to an Organization and may be accessible to other members of that Organization based on their assigned role (Owner, Admin, Member, or Viewer). You acknowledge that Customer Content you create within an Organization may be accessible to other authorized members of that Organization.

If your Account was created or provisioned by an employer or organization administrator, that administrator may have the ability to access, export, modify, or delete records associated with the Organization. DOSSIRI is not responsible for how an Organization’s administrators manage access to Customer Content within the Service.

2.4 Account Security

You are responsible for all activity that occurs under your Account. You agree to notify us immediately at hello@dossiri.com if you become aware of any unauthorized use of your Account or any security breach affecting your credentials.

2.5 One Organization Per Account

Each User account is associated with one Organization at a time. Team account structures and multi-user access are subject to the applicable Plan entitlements and role structure of the Service.

3. The Service

3.1 CRM Core — Always Available

CRM Core features are available on all Plans without Intelligence Layer entitlement. CRM Core includes Accounts, Contacts, Leads, Deals, Tasks, Evidence, Timeline, and Operational Reporting. DOSSIRI will not gate, restrict, or remove access to CRM Core functionality based on plan tier. Evidence is CRM Core and is always free. CRM Core data is never deleted due to subscription lapse.

3.2 Intelligence Layer — Entitlement-Controlled

Intelligence Layer features are available subject to the entitlements of your applicable Plan. Intelligence Layer features include Account Briefs, Pre-Call Briefs, Territory Digest summaries, Onboarding Briefs, Signal monitoring and analysis, Opportunity Assessments, and Suggested Contacts. Access to specific Intelligence Layer features varies by Plan.

Onboarding Briefs are provided to all Plans as a one-time benefit upon first completion of the Ideal Customer Profile (ICP) with monitoring tags. No Intelligence Layer subscription is required for the Onboarding Brief.

3.3 Service Modifications

DOSSIRI reserves the right to modify, update, or discontinue features of the Service at any time. We will provide at least 30 days’ advance notice of material changes that reduce functionality available under your current Plan. We will not reduce CRM Core functionality without providing an opportunity for you to export your Customer Content.

3.4 Service Availability

DOSSIRI will use commercially reasonable efforts to make the Service available. We do not guarantee uninterrupted access. Scheduled maintenance, infrastructure updates, and circumstances outside our control may result in temporary unavailability. DOSSIRI does not provide a specific uptime service level agreement at this time.

3.5 Beta Program

Users participating in the DOSSIRI Beta Program (including design partners, alpha users, and beta users) access the Service under a Beta Program Agreement that supplements these Terms. In the event of a conflict between these Terms and the Beta Program Agreement, the Beta Program Agreement controls with respect to Beta Program participation. See Section 14 for additional Beta Program provisions.

4. Customer Content

4.1 Ownership

Customer Content belongs to the Organization that creates it. DOSSIRI does not claim ownership of Customer Content. You retain all rights in the Customer Content you submit to the Service.

4.2 License to DOSSIRI

By submitting Customer Content to the Service, you grant DOSSIRI a limited, non-exclusive, worldwide license to process, store, transmit, and display Customer Content solely as necessary to provide the Service to you. This license terminates when your Account is closed and Customer Content is deleted in accordance with our data retention practices, as described in the Privacy Policy.

4.3 Intelligence Processing

The Intelligence Layer processes Customer Content as context for generating Intelligence Outputs. This processing is a service delivery function. Customer Content consumed as input to intelligence generation remains the property of the Organization. DOSSIRI does not acquire rights to Customer Content by virtue of processing it for intelligence generation purposes.

4.4 Aggregated Data

DOSSIRI may derive aggregated and de-identified data from Customer Content and usage data for the purpose of operating, improving, and developing the Service. Aggregated data does not identify any individual User or Organization. DOSSIRI may use aggregated data without restriction.

4.5 AI Training

DOSSIRI does not use Customer Content to train machine learning or AI models that will be made available to other customers or organizations without your explicit consent.

4.6 Customer Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of Customer Content you submit to the Service. DOSSIRI does not review Customer Content for accuracy or legal compliance. You represent that you have all rights necessary to submit Customer Content to the Service and that doing so does not violate any applicable law or third-party right.

4.7 No PHI

The Service is not designed to store, process, or transmit Protected Health Information (PHI) as defined under the Health Insurance Portability and Accountability Act (HIPAA). You agree not to submit PHI to the Service. DOSSIRI is not a HIPAA Business Associate and does not execute Business Associate Agreements. Submission of PHI is a material breach of these Terms and may result in immediate termination of access without a cure period.

5. Subscriptions and Payment

5.1 Subscription Plans

Access to Intelligence Layer features requires a paid subscription Plan. DOSSIRI currently offers three Plan tiers: STARTER, PROFESSIONAL, and TEAM. Plan pricing and feature entitlements are described on the DOSSIRI pricing page at www.dossiri.com/pricing and in your subscription confirmation. CRM Core features remain available on all Plans and in trial periods without Intelligence Layer payment.

5.2 Billing

Paid subscriptions are billed on a seat basis, in advance on a recurring basis (monthly or annual, as selected at purchase). Payment is processed through Stripe, our designated payment provider. By providing payment information, you authorize DOSSIRI to charge your payment method for the applicable subscription fees through Stripe.

5.3 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through the billing settings within the Service. Cancellation takes effect at the end of the current billing period. We do not provide prorated refunds for mid-period cancellations unless required by applicable law.

5.4 Price Changes

DOSSIRI may change subscription pricing at any time. We will provide at least 30 days’ advance notice of price increases affecting your current subscription before the change takes effect. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.

5.5 Taxes

Subscription fees do not include applicable taxes. You are responsible for all taxes, levies, or duties imposed by taxing authorities in connection with your subscription, excluding taxes on DOSSIRI’s net income.

5.6 Free Trial and Promotional Access

DOSSIRI offers a 14-day free trial with full PROFESSIONAL Plan entitlements for all new subscriptions. A valid payment method is required at trial signup and will be charged at the end of the trial period unless the subscription is cancelled before the trial ends. Early Adopter Program participants receive a 60-day trial period in lieu of the standard 14-day trial.

5.7 Early Adopter Program

DOSSIRI may offer an Early Adopter Program providing promotional pricing to early customers. Early Adopter pricing consists of a permanent discount applied through a Stripe coupon for the duration of the qualifying subscription. Early Adopter pricing applies to STARTER and PROFESSIONAL Plans only. Early Adopter status is permanently forfeited upon subscription cancellation and cannot be reinstated on re-subscription. Early Adopter pricing is not guaranteed to be available to new customers after the Early Adopter Program closes.

6. Acceptable Use

6.1 Acceptable Use Policy

Your use of the Service is subject to the DOSSIRI Acceptable Use Policy (AUP), available at www.dossiri.com/legal/acceptable-use, which is incorporated into these Terms by reference. You agree to comply with the AUP at all times.

6.2 General Prohibitions

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party right
  • Submit, store, or transmit content that is unlawful, defamatory, infringing, obscene, or otherwise objectionable
  • Submit PHI or any other data category that the Service is not designed to handle
  • Attempt to gain unauthorized access to the Service or its infrastructure
  • Reverse engineer, decompile, or disassemble the Service or any component thereof
  • Scrape, crawl, or systematically extract data from the Service without authorization
  • Use the Service to develop a competing product or service
  • Transmit malware, viruses, or other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Circumvent or attempt to circumvent any access controls, entitlement checks, or usage limits

6.3 Regulated Industry Responsibility

DOSSIRI is used by sales professionals in life sciences and regulated industries. You acknowledge that your use of the Service and your reliance on any Intelligence Output in connection with regulated activities is your sole responsibility. DOSSIRI is decision-support software. It is not a compliance tool, regulatory system, or quality management system. See Section 10 for the full disclaimer applicable to Intelligence Outputs.

6.4 Enforcement

DOSSIRI reserves the right to suspend or terminate access to the Service for violations of these Terms or the AUP. We will provide notice where reasonably practicable before suspension or termination, except where immediate action is required to protect the Service or other users. PHI submissions and material AUP violations may result in immediate termination without prior notice or a cure period.

7. Intellectual Property

7.1 DOSSIRI Ownership

DOSSIRI owns all rights, title, and interest in and to the Service, including all software, algorithms, user interfaces, documentation, trademarks, and technology underlying the Service. These Terms do not transfer any ownership interest in the Service to you. Your rights are limited to the license to access and use the Service as described in these Terms.

7.2 License to Use the Service

Subject to these Terms and payment of applicable fees, DOSSIRI grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the term of your subscription.

7.3 Feedback

If you provide DOSSIRI with feedback, suggestions, or ideas about the Service (“Feedback”), you grant DOSSIRI a perpetual, irrevocable, worldwide, royalty-free license to use, incorporate, and commercialize that Feedback without restriction or compensation to you. Feedback does not include Customer Content.

7.4 Third-Party Data Sources

The Intelligence Layer surfaces information derived from publicly available third-party sources including FDA databases, ClinicalTrials.gov, and SEC EDGAR. These sources are owned by their respective operators and are subject to their respective terms of use. DOSSIRI does not claim ownership of third-party source data. Nothing in these Terms grants you rights in third-party source data beyond your access through the Service. You may not redistribute, resell, or incorporate Intelligence Output content derived from third-party sources into any commercial data product, publication, or service offered to third parties for compensation.

8. Confidentiality

8.1 DOSSIRI Confidential Information

In connection with your use of the Service, DOSSIRI may share information that is confidential, including non-public product roadmap information, pricing structures, technical architecture, and business information (“DOSSIRI Confidential Information”). You agree to hold DOSSIRI Confidential Information in confidence and not to disclose it to third parties or use it for any purpose other than your use of the Service.

8.2 Customer Confidential Information

DOSSIRI acknowledges that Customer Content may contain confidential business information. DOSSIRI will not disclose Customer Content to third parties except as permitted by these Terms, the Privacy Policy, or as required by law.

8.3 Exclusions

Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was known to the receiving party before disclosure; (c) is received from a third party without restriction; or (d) is required to be disclosed by law or court order, provided that the disclosing party provides reasonable prior notice where permitted by law.

9. Term and Termination

9.1 Term

These Terms begin when you first access the Service and continue until terminated as described in this Section.

9.2 Termination by You

You may terminate your Account and subscription at any time by cancelling through the Service. Termination takes effect at the end of the current billing period for paid subscriptions. Upon termination, your access to Intelligence Layer features will cease and CRM Core features will remain accessible through the data retention period described in Section 9.4.

9.3 Termination by DOSSIRI

DOSSIRI may suspend or terminate your access to the Service:

  • For material breach of these Terms (other than those listed below) that is not cured within 15 days of written notice
  • For violation of the Acceptable Use Policy
  • For non-payment of subscription fees
  • Immediately and without a cure period for submission of PHI, for violations that pose imminent risk of harm to the Service or other users, or for conduct that DOSSIRI determines in its reasonable judgment constitutes a serious AUP violation
  • If required by applicable law
  • If DOSSIRI discontinues the Service, with at least 60 days’ advance notice

9.4 Effect of Termination

Upon termination: (a) your license to access Intelligence Layer features ceases immediately; (b) CRM Core features remain accessible for 30 days following termination to allow data export; (c) Customer Content is subject to the data retention practices described in the Privacy Policy (90-day retention period following termination, after which Customer Content becomes eligible for permanent deletion from our systems); and (d) provisions of these Terms that by their nature should survive termination will survive, including Sections 4 (Customer Content), 7 (Intellectual Property), 10 (Disclaimer of Warranties and Intelligence Output Disclaimer), 11 (Limitation of Liability), 12 (Indemnification), and 15 (General).

9.5 Data Export

Prior to Account termination, you may export your Customer Content using the export functionality available within the Service. DOSSIRI offers CSV export for Accounts, Contacts, Leads, Deals, and Tasks. We encourage you to export your data before terminating your Account.

10. Disclaimer of Warranties and Intelligence Output Disclaimer

This Section is a material term of these Terms. Please read it carefully.

10.1 Intelligence Output Disclaimer

The following disclaimer applies to all Intelligence Layer features of the Service, including Account Briefs, Pre-Call Briefs, Territory Digest summaries, Onboarding Briefs, Signals, Opportunity Assessments, and Suggested Contacts.

DOSSIRI outputs do not constitute compliance advice, legal advice, regulatory advice, validation guidance, quality advice, or professional advice of any kind. All Intelligence Outputs are provided solely as decision-support information. You are solely responsible for independently evaluating, validating, and verifying any DOSSIRI output before acting upon it. DOSSIRI does not guarantee the accuracy, completeness, timeliness, or fitness for any particular purpose of any output generated by the Service. Human judgment remains responsible for all decisions and actions taken in connection with information provided by DOSSIRI.

DOSSIRI is:

  • A compliance-aware, intelligence-native customer relationship management platform
  • Decision-support software designed to help life sciences and regulated-industry sales professionals prepare for conversations, assess opportunities, accumulate account intelligence, and monitor territory signals
  • A tool that assists professional judgment — it does not replace it

DOSSIRI is not:

  • Legal advice or a substitute for legal counsel
  • Compliance advice or a substitute for compliance professionals or compliance management systems
  • Regulatory advice or a substitute for regulatory affairs professionals
  • Validation consulting or a substitute for validation engineers or quality professionals
  • Quality management software or a quality management system (QMS)
  • A 21 CFR Part 11 compliant system — DOSSIRI is not represented as such and users in FDA-regulated environments are responsible for evaluating its appropriateness for their regulated workflows
  • A system designed to store, process, or transmit Protected Health Information (PHI) as defined under HIPAA
  • An autonomous agent — DOSSIRI does not take actions on your behalf or make decisions for you
  • A guarantee of any business, sales, compliance, regulatory, or validation outcome

Specifically and without limiting the foregoing:

  • Intelligence Outputs are generated in part from publicly available third-party data sources. DOSSIRI does not independently verify the accuracy or currency of third-party data used in generating Intelligence Outputs.
  • Opportunity Assessments (High Potential, Moderate Potential, Low Potential, Insufficient Information) reflect decision-support classifications based on available information. They are not predictions, guarantees, or professional assessments of any business, regulatory, or compliance outcome.
  • Signal information reflecting regulatory activity, clinical trial postings, procurement notices, or company events is derived from public sources and may be delayed, incomplete, or inaccurate. You must independently verify signal information before relying on it for any business, compliance, or regulatory purpose.

10.2 No Professional Relationship

Use of the Service does not create an attorney-client, consultant-client, compliance advisory, regulatory advisory, quality advisory, or other professional services relationship between DOSSIRI and any User or Organization. No communication through the Service, and no Intelligence Output generated by the Service, constitutes the provision of legal, compliance, regulatory, validation, quality, or other professional services. Users requiring professional advice in any of these areas must consult qualified professionals independently of the Service.

10.3 Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOSSIRI DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. DOSSIRI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. DOSSIRI DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY INTELLIGENCE OUTPUT OR THIRD-PARTY DATA SURFACED THROUGH THE SERVICE.

11. Limitation of Liability

11.1 Exclusion of Consequential Damages

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL DOSSIRI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICE, EVEN IF DOSSIRI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, DOSSIRI’S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF: (A) THE TOTAL FEES PAID BY YOU TO DOSSIRI IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY; OR (B) ONE HUNDRED DOLLARS ($100).

11.3 Essential Basis

The limitations of liability in this Section reflect a reasonable allocation of risk between the parties and are an essential element of the basis of the bargain between DOSSIRI and you. DOSSIRI would not be able to provide the Service on commercially reasonable terms without these limitations.

11.4 Exceptions

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by applicable law, including liability for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence.

12. Indemnification

You agree to defend, indemnify, and hold harmless DOSSIRI and its officers, directors, employees, and agents from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Service; (b) Customer Content you submit to the Service; (c) your violation of these Terms or the Acceptable Use Policy; (d) your violation of any applicable law or third-party right; or (e) any claim that Customer Content infringes any intellectual property right or other right of a third party.

DOSSIRI reserves the right to assume exclusive control of the defense of any matter subject to indemnification by you, at your expense. You agree to cooperate with DOSSIRI’s defense of such claims.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict of laws principles.

13.2 Good-Faith Negotiation

Prior to initiating any formal legal proceeding, the parties agree to first attempt to resolve any dispute arising out of or relating to these Terms or the Service through good-faith negotiation for a period of thirty (30) days from the date written notice of the dispute is provided to the other party. Notice must be sent in accordance with Section 15.7.

13.3 Exclusive Jurisdiction and Venue

Each party submits to the exclusive jurisdiction of the state and federal courts located in Maryland for any dispute arising out of or relating to these Terms or the Service, and waives any objection to the laying of venue in Maryland, including any objection based on inconvenient forum.

13.4 Waiver of Class and Collective Actions

To the fullest extent permitted by applicable law, each party agrees that any dispute arising out of or relating to these Terms or the Service will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, or representative proceeding. This waiver does not apply where applicable law prohibits waiver of class or collective action rights, in which case this Section 13.4 will be enforced to the maximum extent permitted by law.

13.5 Jury Trial Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE.

13.6 Equitable Relief

Nothing in this Section prevents either party from seeking injunctive or other equitable relief in any court of competent jurisdiction to prevent or remedy unauthorized use of the Service or infringement of intellectual property rights, including before completion of the good-faith negotiation period described in Section 13.2.

14. Beta Program

14.1 Beta Status

DOSSIRI may make the Service or certain features available to users under a Beta Program prior to general availability. Beta access is provided at DOSSIRI’s sole discretion and may be modified or withdrawn at any time.

14.2 Beta Program Agreement

Participation in the Beta Program is governed by a Beta Program Agreement, which supplements and controls over these Terms with respect to Beta Program participation. Beta Program Agreement execution must occur before or simultaneously with initial Service access by any Beta Program participant. If you are a Beta Program participant, you should review your Beta Program Agreement carefully.

14.3 Beta Disclaimers

Beta features and pre-general-availability features are provided without warranty of any kind. Beta features may be unstable, incomplete, or subject to significant change. DOSSIRI is not liable for data loss, service interruptions, or other issues arising from use of Beta features. You assume all risk associated with use of Beta features.

14.4 Feedback from Beta Participants

Beta Program participants are encouraged to provide Feedback to DOSSIRI. Feedback provided by Beta Program participants is subject to the Feedback license in Section 7.3. Participation in the Beta Program does not create any obligation on DOSSIRI to implement Feedback or to continue any feature introduced during the Beta Program.

15. General Provisions

15.1 Entire Agreement

These Terms, together with the Privacy Policy, the Acceptable Use Policy, and any Beta Program Agreement or subscription order applicable to your Account, constitute the entire agreement between you and DOSSIRI with respect to the Service and supersede all prior or contemporaneous agreements, representations, or understandings relating to the subject matter hereof.

15.2 Amendment

DOSSIRI may amend these Terms at any time. We will provide at least 30 days’ advance notice of material amendments via email or in-Service notification. Continued use of the Service after an amendment takes effect constitutes acceptance of the amended Terms. If you do not agree to an amendment, you may terminate your Account before the amendment takes effect.

15.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not possible, and the remaining provisions will continue in full force and effect.

15.4 Waiver

DOSSIRI’s failure to enforce any provision of these Terms does not constitute a waiver of the right to enforce that provision in the future. Waivers must be in writing and signed by an authorized representative of DOSSIRI to be effective.

15.5 Assignment

You may not assign or transfer your rights under these Terms without DOSSIRI’s prior written consent. DOSSIRI may assign these Terms or its rights hereunder in connection with a merger, acquisition, asset sale, or reorganization without your consent.

15.6 Force Majeure

DOSSIRI is not liable for delays or failures in performance resulting from causes outside its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, government actions, internet or infrastructure failures, or third-party service disruptions.

15.7 Notices

Notices to you will be sent to the email address associated with your Account. Notices to DOSSIRI, including formal legal notices, should be sent to hello@dossiri.com. Notices are effective upon delivery to the applicable email address.

15.8 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights. No third party may enforce any provision of these Terms.

15.9 Relationship of the Parties

The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, employment, or franchise relationship between DOSSIRI and you.

15.10 Export Compliance

You agree to comply with all applicable export control laws and regulations in connection with your use of the Service. You represent that you are not located in a country subject to U.S. trade embargo and are not on any U.S. government list of prohibited or restricted parties.

15.11 Government Users

If you are a U.S. government entity, the Service is provided as a “commercial item” as defined in 48 C.F.R. §2.101. Use by U.S. government end users is subject to these Terms.
